Let me help you with this, to know about the 'One Person Company’ and how to register it, just read below:

In this modern era, a new concept has been introduced in The Company’s Act 2013, which is One Person Company (OPC).

So, as per Section 2(62) of The Company’s Act 2013, you can form your One Person Company with only 1 Director and 1 member which was not possible in forming private company earlier.

Registration Process:

• Apply for DSC

• Apply for application

• Name approval application

• Documents required for this

• Filing of forms with MCA

• Issue of Certificate of Incorporation

Let’s discuss all of them one by one,

• Apply for DSC: DSC means ‘Digital Signature Certificate' this is the first step in which you have to get Digital Signature Certificate Of the would be Director and he/she must have these documents like Address proof, Photo, Aadhaar card, email id etc.

• Apply for DIN: DIN means Director Identification Number which can be applied after obtaining the Digital Signature Certificate. DIN of proposed director have to be taken in SPICe form along with his/her name and address. For existing companies, they have to fill Form DIR-3.

• Name Approval Application: After the above steps, now decide the name of the company which will be as follows- ‘XYZ (OPC) Private Limited’. Two options are there for getting the name approved-

     1. Make an application form in SPICe 32

     2.Use the Run web service of MCA.

• Documents required for this:

1. MOA

2. AOA

3. Nominee on behalf of Director

4. Registered office’s proof of the company along with NOC for the member

5. Declaration and consent of proposed director

6. Declaration by professional certifying.

• Filing of Form with MCA: This is the fifth step where all previous documents should be attached to SPICe form and will be uploaded to MCA site for approval. PAN number and TAN number is generated automatically at the time of incorporation of One Person Company.

• Issue of the Certification of Incorporation: This is the last step in which after verifying, the Registrar of Companies issues a certificate of incorporation.
